Seminar

Participants of this seminar will understand how to recognize and resolve ownership issues regarding intellectual property, between you and your employees, subcontractors, and your clients, including:

*         Who owns the intellectual property in your work?

*         What rights does your client obtain to use your work now and in the future?

*         What rights do you retain to re-use your work or portions of your work for another client or another project?

The following topics will also be covered:

Contracts: How to effectively define your relationship with your clients and others, including:

*         Protection of intellectual property

*         Use of intellectual property

*         Confidentiality

*         Warranties and indemnities

*         Review of specific contract language

Disputes: How to prepare now to better handle problems in the future.

There will be a detailed Question and Answer session. Please come prepared with questions you may have on any intellectual property issue.

Speaker

Jennifer Brough, L.L.B

Jennifer is a senior associate in the firm's Business and Technology Groups. She provides general corporate and commercial advice to clients in diverse industries in order to help them to achieve their
business objectives.

Jennifer's experience includes advising on the acquisition and divestiture of businesses, corporate reorganizations, drafting and negotiating commerical agreements and helping clients with due dilligence
investigations. She recently assisted with the sale of shares of a software company and the sale of assets of a logistics company.

Jennifer’s clients include manufacturing and resource-based companies, universities, technology companies, professional associations, government and groups of investors. Jennifer has considerable experience with technology and intellectual property-related transactions involving the IT, life sciences, clean technology and health care industries. She assists clients with the negotiation, preparation and enforcement of a wide variety of related agreements, including co-development, license, assignment, nondisclosure, outsourcing and joint venture agreements.

•  Less than 5 business days prior to the event, no refunds apply
